Vendor Terms

Effective Date: 01.01.2025 Applicable To: All vendors using GoChats services at https://chats.gozipp.in These Vendor Terms and Conditions ("Agreement") govern your use of the GoChats platform as a registered vendor. By registering as a vendor or using the platform, you agree to comply with the following terms. 1. Vendor Eligibility To become a vendor on GoChats, you must: Be at least 18 years old Have the legal authority to represent your company or business Use the service only for lawful, commercial purposes 2. Services Provided As a vendor, you will have access to: WhatsApp messaging & automation tools Campaign and contact management Chatbot & Flow Builder tools APIs and webhook integrations Multi-agent support and dashboards The platform is designed to help you automate, promote, and engage with your audience over WhatsApp, using approved templates and features. 3. Compliance & Responsibilities Vendors agree to: Use GoChats in accordance with WhatsApp's Business Policy Ensure that all messages sent are opt-in and non-spam Not use the platform for sending fraudulent, obscene, or abusive messages Be responsible for the content, media, and templates used in campaigns Not impersonate other entities or engage in phishing, scamming, or unauthorized data collection GoChats reserves the right to suspend or terminate accounts found violating any of these policies without prior notice. 4. Pricing & Payments Vendors must choose a subscription plan based on their usage needs All plans are billed in advance (monthly or annually) Fees are non-refundable, except in cases of platform error or service failure Non-payment will result in account suspension after a grace period of 7 days 5. Data Usage & Confidentiality You retain ownership of your contacts, messages, templates, and campaign data GoChats will never sell or misuse your data All information is handled per our Privacy Policy and applicable data protection laws You agree to maintain the confidentiality of your login credentials and activity 6. Termination We reserve the right to terminate or restrict vendor access if: Terms are violated Illegal or abusive usage is detected Required documentation (e.g., business verification) is not submitted You may cancel your subscription at any time, but no partial refunds will be issued for unused subscription periods. 7. Limitation of Liability GoChats is not liable for: Delivery failures due to WhatsApp restrictions or API limitations Vendor misuse, user errors, or regulatory blocks Loss of business, revenue, or customer relationships caused by platform misuse or third-party service issues 8. Modifications to Terms These terms may be updated from time to time. Vendors will be notified via email or dashboard alerts. Continued use of the platform after updates constitutes agreement to the new terms. 9. Governing Law This Agreement is governed by the laws of India, and any disputes will fall under the jurisdiction of New Delhi courts. 10.
